What a registered address is
The registered address (the legally correct term is the location of the legal entity) is the address at which the company is registered in the Unified State Register of Legal Entities, Individual Entrepreneurs and Public Formations (USR). It is stated in the constituent documents, contracts, letterheads and correspondence with state authorities.
Under Article 93 of the Civil Code of Ukraine, the location of a legal entity is the actual place of business activity or the office from which day-to-day management is carried out (where management is predominantly present) and accounting is kept. That is, the law from the outset assumes the registered address must correspond to the real location of the business.
What the actual address is
The actual address is the place where the company really conducts activity: the office where employees work, a warehouse, a production or retail premises. Unlike the registered address, the actual address is not officially registered anywhere — it can change together with the business’s relocation without amending the USR.
Can the registered and actual addresses differ
Yes. The law does not prohibit the registered and actual addresses from not coinciding — in practice most companies work this way. The most common options for a registered address are:
- The registration address of the director or founder — the cheapest option, but it mixes personal housing with business and creates risks during inspections.
- The address of an owned or leased office — optimal when the office is permanent and there are documents for the premises.
- Renting a registered address — a separate service: the company gets a confirmed address with the right to receive correspondence, without needing to rent a full office.
Registered address during martial law
For companies from combat zones or temporarily occupied territories, a simplified change of location is provided. You can change the registered address remotely through a state registrar or notary, and in a number of cases — without paying the administrative fee. The key thing is that the new address is real and the company is reachable at it.
How to choose a registered address without risk
Before entering an address in the USR, make sure that:
- you have documentary proof of the right to use the premises (ownership certificate, lease agreement or the owner’s consent);
- official correspondence can actually be received at the address;
- the address is not on the “mass registration” list that the tax authority tracks separately.
