In brief

Any change to an LLC’s data (director, members, charter capital, name, address, activities) is registered in the Unified State Register (USR). The basis is a decision of the general meeting of members. The administrative fee for registering changes in 2026 is UAH 1,000; a change of contacts (phone, email) is registered for free. Delay or a mismatch of data in the register creates risks for deals and inspections.

Which LLC changes are registered

  • Change of director (head) — the most frequent change; formalised by a meeting decision and registered in the USR.
  • Change of members — a member joining/leaving, sale or gift of a share.
  • Change of the charter capital amount — increase or decrease.
  • Change of name of the legal entity.
  • Change of location (registered address).
  • Change of activities (NACE codes) and switching between the model and a custom charter (more in the article on the LLC charter).

How much registering changes costs in 2026

The administrative fee for registering changes is 0.3 of the subsistence minimum for able-bodied persons, i.e. UAH 1,000 in 2026. If you wish, registration can be expedited for an extra fee:

How to register changes: the procedure

  • Step 1. The general meeting of members adopts a decision (minutes); with a single owner — a written decision.
  • Step 2. Prepare the documents: minutes/decision, if needed a new version of the charter, the prescribed application form, beneficiary data.
  • Step 3. Pay the administrative fee (except for free changes).
  • Step 4. File the documents with the state registrar, a notary or online (certain changes are available via Diia).
  • Step 5. Receive an updated USR extract with the changes entered.
ImportantData in the USR must match reality: if the director has been changed but the register still shows the old one, their signatures on contracts may be challenged and the bank will block operations. So changes should be registered immediately, not “when you get around to it”. This is especially true for a change of head and of location.
